                                                          BYLAWS

                       C.  Appointment Process
                          1.  Ex-Officio Members—The ex-officio members of the DCAC—the Human Resources
                              Director (or designee) and the Tax Collector-Treasurer (or designee)—are appointed by
                              virtue of their posi�ons. No process is required for their appointments.
                          2.  Management Members—The three management members of the DCAC will be
                              appointed by the County Execu�ve. The Human Resources Director will recommend
                              candidates for the County Execu�ve’s considera�on and appointment. At the discre�on
                              of the County Execu�ve, one of the management appointees may be a re�ree, though
                              only one re�ree may be on the DCAC at any point in �me.
                          3.  Non-Management Members—The four non-management members of the DCAC will be
                              appointed by the County Execu�ve. The Human Resources Director, in collabora�on with
                              the labor-management Benefits Commitee, will recommend candidates for the County
                              Execu�ve’s considera�on and appointment. At the discre�on of the County Execu�ve,
                              one of the non-management appointees may be a re�ree, though only one re�ree may
                              be on the DCAC at any point in �me.
                              NOTE: Both the SEIU and AFSCME unions have contract provisions that mandate one
                              member from each of their unions will have a seat on the DCAC.
                          4.  The appointment process will be inclusive in nature to ensure equitable representa�on
                              whenever prac�cable.
                          5.  Once appointed, each trustee’s fiduciary responsibility will apply to the en�re plan and
                              to all plan par�cipants, not only to the stakeholder by which they were nominated. This
                              dis�nc�on will be clarified and emphasized in the DCAC’s ongoing fiduciary training
                              program.

                       D.  Resigna�on—Resigna�ons from the DCAC may be required due to resigna�on from the
                          County, changes to job classifica�on that affect a DCAC member’s above Management/Non-
                          Management designa�ons, etc. When necessary, at least 30 days of no�ce before the next
                          DCAC mee�ng would allow the staff �me needed for the above appointment process.

                       E.  Atendance Requirements—DCAC members are expected to atend and par�cipate in all
                          mee�ngs in any year (typically four quarterly mee�ngs plus one separate planning mee�ng).
                          DCAC members are expected to obtain approval from their own supervisor or manager to
                          atend DCAC mee�ngs. The Director of Human Resources will confirm the mee�ng
                          schedules, as needed.

                          For any member with two unexcused absences in a calendar year, that member will be on
                          proba�on. If that member misses a third mee�ng in that same calendar year, that member
                          will be dismissed and then replaced using the above Appointment Process.

                          Excused Absences

                          The absence of a member from a regular mee�ng of the DCAC shall be deemed excused if
                          the absence occurs because of any of the following reasons, provided that the member
                          listens to the audio recording of the mee�ng prior to the commencement of the next regular
                          or special mee�ng and cer�fies in wri�ng that he or she has listened to the audio recording.
