               RECOMMENDATION

               To review and discuss in the December 4, 2023, Retreat the attached Bylaws, and to
               provide direction to staff for finalizing the initial adoption of the Bylaws in the February
               22, 2024, meeting of the DCAC.

               BACKGROUND

               The Board of Supervisors established and further defined the Deferred Compensation
               Advisory Committee by resolutions. The DCAC then operated itself under the authority
               granted by the BOS and by using the conventions of the State of California’s Brown Act
               and Rosenberg’s Rules of Order.

               Bylaws are another opportunity for the DCAC to enhance its own governance. The
               Bylaws document and define certain administrative processes so that they are
               standardized and consistent from generation to generation of DCAC members.

               To the extent that the Bylaws are consistent with and are within the parameters of the
               BOS resolutions, the Bylaws can be adopted and amended by the DCAC itself.

               DISCUSSION

               This initial version of the Bylaws, if adopted, would give the DCAC a foundation for its
               current operations and would be a basis for future refinements. Elements of this initial
               version reflect the BOS resolutions and the DCAC’s historical operations. Other
               elements, highlighted in yellow, represent changes to the status quo and should be fully
               considered before adoption.

               After an initial adoption, the Bylaws can be further refined in relation to other
               government plan sponsor’s bylaws and to other boards and commissions with the
               County of San Mateo, if appropriate and as needed.
