DEFERRED COMPENSATION ADVISORY COMMITTEE
                                                          BYLAWS

                          1.  Chair—According to Board of Supervisors Resolu�on 48999, April 7, 1987, the Human
                              Resources Director shall sit as chairperson of the DCAC.
                          2.  Staff—According to Board of Supervisors Resolu�on 53176, September 26, 1989, the
                              Benefits Manager is a staff member to the DCAC.

                       H.  Chair Pro Tempore—In the event of the absence or disability of the Chair at any mee�ng, the
                          Commitee shall elect one of its members as Chair Pro Tempore  to preside over such
                          mee�ng.

                 V.    MEETING RULES OF ORDER

                       A.  Regular Mee�ngs—Regular mee�ngs of the DCAC are scheduled for the second month of
                          each quarter, on the fourth Thursday of the month, at 9:00am. The known excep�on is the
                          November mee�ng. Since that mee�ng conflicts with the Thanksgiving holiday, the
                          November mee�ngs are scheduled for the first Thursday of November at 9:00am.

                          All regular mee�ngs will be publicly no�ced in accordance with the State of California’s
                          Brown Act. For the DCAC, hard copies of the agendas will be posted in the lobby of the Hall
                          of Jus�ce, 400 County Center, Redwood City, CA 94063. The agenda will also be posted on
                          the DCAC’s Governance website at htps://www.smcgov.org/hr/deferred-compensa�on-
                          governance. Writen no�ce of the agendas will also be sent directly to each DCAC member
                          and to the DCAC’s recordkeeper and consultant(s).

                       B.  Special Mee�ngs—Special mee�ngs of the DCAC may be scheduled by the Chair or by a
                          majority of the DCAC as required. All special mee�ngs will be publicly no�ced in accordance
                          with the State of California’s Brown Act. For non-emergency special mee�ngs, the �me and
                          place of the mee�ng shall be reflected in minutes of the prior DCAC mee�ng. For emergency
                          mee�ngs, writen no�ce of the special mee�ngs shall be delivered to each DCAC member, to
                          the DCAC’s recordkeeper and consultant(s), and to a broader set of stakeholders as
                          appropriate.

                          The agendas for special mee�ngs will be distributed in the same manner used for regular
                          mee�ngs and to a broader set of stakeholders as appropriate.

                       C.  Quorum—A quorum for conduc�ng DCAC business is defined as five (5) members of the
                          DCAC. As long as five (5) or more members are in atendance, the DCAC may decide on
                          maters with five (5) affirma�ve votes. When less than nine (9) members are in atendance,
                          the DCAC may decide on administra�ve maters only with a majority of members in
                          atendance. Examples of administra�ve maters are those that do not impact plan
                          par�cipants, the County or plan assets.

                       D.  Public Comments—The DCAC’s agenda will accommodate Public Comments. Any person
                          may address the DCAC on any mater within the purview of the DCAC. Each speaker must be
                          recognized by the Chair before speaking, and speakers are not required to iden�fy
                          themselves. Speaking �me may be reasonably limited at the discre�on of the Chair as
                          necessitated by �me constraints.
