DEFERRED COMPENSATION ADVISORY COMMITTEE
                                                          BYLAWS

               WHEREAS, the Board of Supervisor established and updated the Deferred Compensa�on Advisory
               Commitee through the following resolu�ons:
                   •  Resolu�on 48999 on April 7, 1987 (established of DCAC)
                   •  Resolu�on 53176 on September 26, 1989 (allowed designees by ex-officio members)
                   •  Resolu�on 55599 on November 5, 1991 (replaced Personnel Director with Human Resources
                       Director and assigned Benefits Manager as staff)
                   •  Resolu�on 070192 on June 16, 2009 (deleted Controller es-officio seat and added Management
                       seat); and

               WHEREAS, the Deferred Compensa�on Advisory Commitee desires to establish its own Bylaws to
               govern its own opera�ons;

               NOW, THEREFORE, BE IT RESOLVED THAT THE DEFERRED COMPENSATION ADVISORY COMMITTEE
               HEREBY ADOPTED THE FOLLOWING BYLAWS…
